Important Legal Notice — Please Read Carefully

These Terms contain an arbitration clause and a waiver of the right to participate in class action proceedings. These provisions affect your legal rights as follows:

  1. Any dispute, claim, or request for relief against us may only be pursued on an individual basis. You may not act as a plaintiff or class member in any class action, representative action, or class-wide arbitration.
  2. By accepting these Terms, you agree to resolve disputes through binding arbitration rather than court litigation, and you waive your right to a jury trial.

These arbitration provisions do not apply to the extent they are prohibited or unenforceable under the laws of your country of residence. Where arbitration is not permitted by applicable law, disputes shall be resolved exclusively in the courts of competent jurisdiction in The Republic of Seychelles, or, where required by mandatory consumer protection laws, in the courts of your country of residence.

1. Services Provided

Seylearning is a talent development and management consultancy and adult professional development platform offering the following services:

  • Self-paced (asynchronous) courses
  • Live online training sessions
  • Hybrid courses combining recorded materials and live sessions
  • Live online coaching services
  • Classroom workshops and face-to-face coaching services
  • Consulting services for talent development and management

The platform reserves the right to modify, update, or discontinue any course or feature at its discretion. Where a modification materially affects a service you have already paid for, you will be entitled to a refund in accordance with Section 7.3.

2. Course Content

Updates and Modifications

Seylearning develops original, custom-built, and exclusive course content (“Content”) with the goal of delivering a world-class learning experience. Unforeseen circumstances may arise, and as such, Seylearning retains the right to cancel, pause, reschedule, or modify any Content at any time, including the ability to adjust the value, weight, or structure of any assignment, quiz, or assessment. Where such changes are material, affected users will be notified by email and offered the options described in Section 7.3.

No Academic Credit

Completion of or participation in any Content on Seylearning does not result in the awarding of academic credit, unless this has been explicitly stated in the course description page on the Platform at the time of purchase. Even where one institution chooses to recognise such completion, this does not imply that other academic institutions will do the same. Seylearning is under no obligation to seek or secure recognition of any Content from any educational institution or accreditation body.

3. User Accounts

To access online services, users are required to create a user account. By creating an account, you agree to:

  • Provide and maintain accurate and complete information, including a valid email address.
  • Maintain the confidentiality of your login credentials and not share them with other users.
  • Notify us immediately of any unauthorised access at welcome@seylearning.com.
  • Take responsibility for all activity conducted through your account.
  • Comply with these Terms, all applicable laws, and our policies.

Users must be at least 18 years of age to create an account and use the Services. If we identify that a user is under 18, the account will be terminated. In such cases, any fees paid will be refunded to the original payment method within 14 days, subject to deduction for any Content already consumed in a manner inconsistent with these Terms.

Users may terminate their account at any time by contacting us at welcome@seylearning.com. Account termination does not automatically entitle the user to a refund; refund eligibility is governed by Section 7.3.

4. Acceptable Use

Seylearning grants you a limited, non-exclusive, non-transferable licence to access and view the Content for which you have paid all required fees, solely for personal, non-commercial, educational purposes through the Services, in accordance with these Terms.

You agree not to:

  • Share your login credentials with others.
  • Use the platform for unlawful purposes.
  • Attempt to disrupt or interfere with platform operations.
  • Reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, or otherwise transfer or use any Content without our prior written consent.

Violation of these rules may result in account suspension or termination. Where an account is suspended or terminated due to a breach of this section, refund eligibility will be assessed on a case-by-case basis, taking into account the nature and severity of the breach and the amount of Content already consumed. We will not unreasonably withhold refunds where only a minor portion of Content has been accessed.

5. Course Access

Course access is granted only to the registered user and may be limited by time restrictions, course completion requirements, or programme schedules. The platform reserves the right to revoke access if misuse is detected, subject to the provisions of Section 4 above.

6. Limitation of Liability

Seylearning provides educational content for informational and professional development purposes. The platform does not guarantee specific career outcomes, professional certification recognition, or financial or employment results.

To the fullest extent permitted by applicable law, Seylearning shall not be liable for indirect or consequential damages resulting from the use of the platform. Nothing in these Terms excludes or limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

7. Payments, Credits, and Refunds

7.1 Pricing

The cost of Services on Seylearning is generally set in line with prevailing market rates for comparable services within the region. Prices are subject to change based on promotional campaigns and limited-time sales. The final price applied to your purchase will be the one shown at the time of checkout.

Certain promotional prices may be offered exclusively to first-time users or users who are not signed into an account. Where this is the case, it will be clearly stated at the point of sale. Signed-in users and returning customers may therefore see different prices to those displayed to new or guest users. This pricing differentiation is based solely on user status (new vs. returning) and not on any protected characteristic.

For users in countries where transactions are subject to sales tax, GST, VAT, or equivalent levies, Seylearning is responsible for calculating and remitting the applicable tax. The displayed price may already reflect these taxes, or they may appear as a separate line item at checkout, depending on your location.

7.2 Payments

By purchasing a Service, you authorise Seylearning to process the applicable fees through your chosen payment method. Seylearning partners with third-party payment service providers to ensure secure transactions. Payment details on file may be periodically updated based on information received from these providers.

If a payment method proves invalid or fails after access to a Service has been granted, you are required to settle the outstanding amount within 30 days of receiving notice from Seylearning. Seylearning reserves the right to suspend or revoke access to any Service for which full payment has not been received.

7.3 Cancellations, Refunds, and Rescheduling

Instructor-Initiated Rescheduling

If the instructor or platform reschedules a session, affected students will be offered the choice of attending the rescheduled session, receiving credit toward another course, or obtaining a full refund to their original payment method.

Refund Eligibility

  • Asynchronous Courses: A refund may be requested within 7 days of purchase, provided that no more than 20% of the course content has been accessed.
  • Live Online Courses: Refunds are only available if a cancellation request is submitted at least 72 hours prior to the course start time.
  • Requests submitted beyond the above timeframes will not be eligible for a refund.

Refund Method

Approved refunds will be returned to your original payment method wherever technically possible. Where a return to the original payment method is not feasible due to limitations of our payment service provider, we will issue a credit to your Seylearning account of equivalent value. We will inform you of the method to be used at the time your refund request is processed. Refunds are typically processed within 10 business days of approval.

How to Submit a Refund Request

  • Go to your Purchase History.
  • Find the course you wish to return.
  • Click Request Refund beneath the course title to be directed to the refund page.
  • If the course was bought as part of a multi-item cart, click View All Courses to expand the order, then select Request Refund under the relevant course.
  • Choose a reason for the refund request and provide a brief explanation.
  • Click Submit.

Refund Abuse

Seylearning reserves the right to decline a refund request if there is reasonable indication that the refund policy is being misused, for example, if a significant portion of the course has already been consumed, or if the user has previously refunded the same content. In such cases, we may restrict future refund eligibility, suspend the user’s account, or limit access to the platform’s Services.

8. Account Security

The safety of our users is a priority for Seylearning. Although we take active measures to safeguard your account and personal information, we cannot guarantee absolute protection against unauthorised access by third parties. Should you suspect that your account has been compromised, please contact us promptly at welcome@seylearning.com.

9. Privacy and Data Protection

Seylearning collects and processes personal data in connection with the provision of its Services. The manner in which we collect, use, store, and protect your personal data is described in our Privacy Policy, which forms part of these Terms and is available on our Platform. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

Where applicable, we comply with relevant data protection legislation, including but not limited to the General Data Protection Regulation (GDPR) for users in the European Economic Area and the UK, and equivalent laws in other jurisdictions.

10. Copyright

Seylearning holds the intellectual property rights to all materials on the Platform. Users are expected to respect these rights when using the Services. We reserve the right to suspend, disable, or terminate the accounts of users who repeatedly infringe or are charged with repeatedly infringing the copyrights, trademarks, or other intellectual property rights of Seylearning or third parties.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of The Republic of Seychelles, without regard to its conflict of law provisions.

Subject to the arbitration provisions set out above and any mandatory consumer protection laws applicable in your country of residence, any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of The Republic of Seychelles.

Nothing in this clause limits any rights you may have under the mandatory consumer protection laws of your country of residence, which shall take precedence where required by applicable law.

12. Changes to Terms

The platform reserves the right to update these Terms at any time. All registered users will be notified by email of any changes at least 14 days before they take effect.

For changes that are material (such as changes to pricing, refund rights, dispute resolution, or data practices), we will require your affirmative acceptance before the new Terms apply to you. You will be prompted to review and accept the updated Terms upon your next login following the notice period. If you do not accept the revised Terms, you may terminate your account in accordance with Section 3, and you will retain access to any paid Content until the end of your current paid period.

For non-material changes (such as corrections of typographical errors or clarifications that do not alter your rights), continued use of the platform following the notice period constitutes acceptance of the revised Terms.
